Lanzi Group acquires 100% of Sicura

With its first acquisition, the Lanzi Group takes a major step towards its goal of becoming the leading specialised PPE distributor in Italy.

Press Release

On 26 July 2023, Lanzi, a Turin-based company that has been engaged for over forty years in the production of protective gloves and workwear, the distribution of personal protective equipment (PPE) and the production of automated dispensing systems for such products, acquired 100% of Sicura’s share capital from its sole shareholder Giordano Ruggeri.

Sicura, founded in 1990 by Mr. Ruggeri and headquartered in Lugo (Ravenna), is also active in the distribution of PPE and workwear, as well as in the maintenance of fire prevention systems. Sicura owns 100% of G. & Co., a company established in 2011 to offer companies premium workwear and accident prevention solutions, also through Sicura’s ANIC store in Ravenna.

The acquisition will enable Lanzi to expand its customer base and strengthen its presence in Emilia-Romagna and Central Italy, enhancing the excellent positioning already attained by Sicura over the years and the synergetic effects on sales that can be activated through the entry of Sicura into the Lanzi Group.

Lanzi President Luigi Lanzi states: “We are very satisfied with the outcome of this transaction, which is a key moment in the history of Lanzi, marking the start of our growth through external lines; it brings us closer to our goal of becoming Italy’s leading company in the specialised distribution of PPE. The presence of Sicura in the Lanzi Group will enable us to be even closer to our customers in a strategic area of Italy I am particularly attached to since both my father and company founder Renato Lanzi originated from Romagna; it will also generate major sales and purchasing synergies. From our first meeting Giordano and I have realised to what extent our companies share the same history, values and future vision of the business. We are happy to welcome Sicura and G. & Co. to our family and write a new chapter in their history together”.

Giordano Ruggeri, who will continue to be actively engaged in the management of Sicura after the transaction, states: “We are proud to become part of the Lanzi Group. For years, we have nurtured the vision that strategic alliances are key to meet the challenges of the future and in the Lanzi Group, a family-owned company operating on a human scale but sufficiently structured, we saw the best reality to become part of. Moreover, combined with our technical expertise and customer proximity services, the range of products manufactured by the Lanzi Group will offer us further opportunities for growth”.

In the course of the transaction, Lanzi was assisted by:

  • the M&A Advisory team of the Corporate & Investment Banking Division of BPER Banca, as Financial Advisor;
  • Studio Legale Pedersoli for the contractual aspects of the transaction and legal assistance;
  • Deloitte and Touche Italia for due diligence on accounting and tax issues;
  • Studio Dott. Franco Nada for the management coordination of the transaction;
  • Studio Giurioli for due diligence on labour law;
  • IntesaSanPaolo for financial assistance.
